Anthropic intends to give 50.1% of the voting rights to the 7 founders, paving the way for continued control of the company after the IPO

PANews, Sept. 25 (Xinhua) -- According to TechCrunch, Anthropic is seeking shareholders' approval for a new shareholding structure that would grant special shares to CEO Dario Amodei and six other co-founders, giving the seven a combined 50.1% voting power on most of the company's matters and maintaining the arrangement while at least three founders continue to hold the minimum percentage of shares. The structure is similar to the founders' super voting power model adopted by tech companies such as Palantir, and is designed to help founding teams maintain control after a company's IPO. The report shows that Anthropic's seven co-founders currently each hold about 2% of the company's shares, and the new shares are not accompanied by additional economic interests, only granting higher voting rights. In addition, Anthropic's long-term interest trust will still have the power to elect a majority of board members, the number of founders' board seats will increase from 2 to 3, and employees will also be given voting rights to break the deadlock on some matters.
